TERMS OF SERVICE

1. AGREEMENT TO TERMS

These Terms of Service ("Terms") are a legally binding agreement between you (the "Partner," "you," or "your") and United Direct Lending, operating the Elite Partner Program under the name "UDL Elite Partners."

UDL Elite Partners is not a separate company—it is a program managed by United Direct Lending, a licensed mortgage lender.

By applying to or participating in the Elite Partner Program, you agree to these Terms. If you do not agree, please discontinue use.

Your participation in the program is also governed by our:

• Privacy Policy
• Program Agreement (if applicable)
• Marketing Guidelines

We may update these Terms from time to time. Material changes will be communicated via website notice or email. Continued participation means you accept the revised Terms.

2. ELIGIBILITY

To participate in the Elite Partner Program, you must:

• Be 18 years or older
• Be a licensed real estate professional in good standing
• Hold an active real estate license in a state where United Direct Lending is licensed to operate: FL, TX, CA, NJ, VA, CO
• Provide valid license information for verification
• Be affiliated with a brokerage or operate independently as allowed by state law

United Direct Lending reserves the right to approve or deny applications at its sole discretion.

3. DESCRIPTION OF SERVICES

The Elite Partner Program provides real estate professionals with tools and resources to offer their buyer clients up to 2% lender credit (up to $15,000) on qualifying home loans through United Direct Lending.

Partners receive:

• Access to the Partner dashboard
• Pre-approval toolkit for buyer clients
• Co-branded marketing materials
• Dedicated partner support team
• Training and onboarding resources
• Commission tracking and reporting

We do not provide:

• Legal, tax, or investment advice to Partners
• Real estate brokerage services
• Lead generation services (Partners generate their own leads)
• Guaranteed loan approvals for referred clients

4. PROGRAM TERMS – PARTNER BENEFITS

• Partners who refer qualified buyers to United Direct Lending may participate in the lender credit program.
• Eligible borrowers may receive up to 2% of the final loan amount as a lender credit applied to closing costs.
• The lender credit is provided by United Direct Lending directly to the borrower—Partners do not receive direct payment from this credit.
• Partners must comply with all applicable real estate laws, including RESPA regulations regarding referral fees and kickbacks.
• The program is available only in approved states (FL, TX, CA, NJ, VA, CO).
• All referred clients must meet standard loan qualification requirements.
• Partners are responsible for obtaining proper consent from clients before sharing their information with United Direct Lending.

5. NO GUARANTEES

Participation in the Elite Partner Program does not guarantee:

• Client loan approval
• Specific loan amounts, rates, or terms
• A minimum number of closings
• Continued program availability

All loan applications are subject to underwriting and final approval by United Direct Lending.

6. YOUR RESPONSIBILITIES

As a Partner, you agree to:

• Maintain an active, valid real estate license in good standing
• Provide accurate and complete information during the application process
• Obtain proper consent from clients before referring them to United Direct Lending
• Comply with all applicable real estate and lending regulations, including RESPA
• Use co-branded marketing materials only as provided and approved
• Protect client confidential information in accordance with privacy laws
• Promptly respond to communications from United Direct Lending
• Not misrepresent the Elite Partner Program or make unauthorized promises to clients

Providing false information or engaging in prohibited practices may result in program termination.

7. INTELLECTUAL PROPERTY

All website content, graphics, videos, marketing materials, and trademarks (including "UDL Elite Partners" and "Elite Partner Program") are owned by United Direct Lending.

Partners may use provided co-branded materials solely for the purpose of promoting the Elite Partner Program to potential clients.

You may not:

• Modify marketing materials without written approval
• Use United Direct Lending branding for purposes outside the program
• Create derivative works or unauthorized materials
• Reproduce or distribute materials beyond intended use

8. PROHIBITED USES

You agree not to:

• Engage in fraudulent activity or submit false information
• Make unauthorized representations about the program or loan terms
• Violate RESPA or other lending regulations
• Share login credentials or dashboard access with unauthorized individuals
• Attempt unauthorized access to our systems
• Upload harmful code or interfere with site functionality
• Harass or abuse United Direct Lending employees or representatives
• Disparage United Direct Lending or the Elite Partner Program

Violation may result in immediate program termination and potential legal action.

9. PARTNER DASHBOARD & TOOLS

United Direct Lending provides Partners with access to a dashboard for:

• Submitting client referrals
• Tracking application status
• Accessing marketing materials
• Viewing program updates

Partners are responsible for:

• Maintaining the confidentiality of login credentials
• All activity that occurs under their account
• Promptly notifying us of any unauthorized access

United Direct Lending reserves the right to suspend or terminate dashboard access for violations of these Terms.

10. EQUAL HOUSING OPPORTUNITY

United Direct Lending is an Equal Housing Lender.

We do not discriminate based on race, color, religion, national origin, sex, gender identity, sexual orientation, familial status, age, disability, or source of income.

Partners must also comply with fair housing laws in their real estate practice.

11. PRIVACY

Your information is handled in accordance with our Privacy Policy, which explains how data is collected, used, and protected.

We comply with applicable privacy regulations and do not sell personal information.

Partners are responsible for obtaining proper consent from clients before sharing their information with United Direct Lending and must comply with all applicable privacy laws.

12. TERM & TERMINATION

Term: Your participation in the Elite Partner Program begins upon approval and continues until terminated by either party.

Termination by Partner: You may terminate your participation at any time by providing written notice to [email protected].

Termination by United Direct Lending:

We may terminate your participation immediately for:

• Violation of these Terms
• Loss or suspension of real estate license
• Fraudulent activity or misrepresentation
• Non-compliance with applicable laws
• Inactivity for an extended period
• Any other reason at our sole discretion

Effect of Termination:

• Access to the Partner dashboard will be revoked
• You must cease use of all co-branded marketing materials
• Obligations regarding client confidentiality continue after termination
• Any pending client applications will be handled at United Direct Lending's discretion

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law, United Direct Lending is not liable for:

• Indirect or consequential damages
• Loss of potential commissions or business opportunities
• Client loan denials or processing delays
• Technical issues or dashboard downtime
• Actions or omissions of third parties

Our total liability shall not exceed $100.

14. INDEMNIFICATION

You agree to indemnify and hold harmless United Direct Lending from any claims, damages, or expenses arising from:

• Your breach of these Terms
• Your violation of applicable laws
• Your representations to clients
• Any negligence or misconduct in your real estate practice
• Unauthorized use of marketing materials

15. DISPUTE RESOLUTION

Most issues can be resolved informally. Please email [email protected] before pursuing formal action.

If not resolved, disputes will be handled by binding arbitration under the AAA Commercial Arbitration Rules in FL.

Class actions are not permitted. You may opt out of arbitration within 30 days by writing to:

16. GOVERNING LAW

These Terms are governed by the laws of FL, without regard to conflict-of-law principles.

17. MODIFICATIONS TO PROGRAM

United Direct Lending reserves the right to:

• Modify program benefits or requirements
• Update marketing materials
• Change dashboard features
• Suspend or discontinue the program

We will provide reasonable notice of material changes when possible.
